1. Introduction
These Terms and Conditions (the “Terms”) govern access to and use of the AgnosPCB website (the “Website”) and the purchase, rental, licensing, and use of AgnosPCB products, software, and services. They apply to all visitors, registered users, and customers. Where a separately negotiated and signed agreement applies, that agreement governs to the extent of any conflict.
2. Definitions
For the purposes of these Terms, the following definitions apply:
• “AgnosPCB”, “we”, “us”, or “our” means AGNOSPCB S.L., as identified in Section 29 (Contact).
• “AgnosPCB Systems” means AgnosPCB hardware, Automated Optical Inspection units, Software, neural-network models, and related Services, individually or collectively.
• “AOI System” means an AgnosPCB Automated Optical Inspection unit, whether online, offline, or API-integrated.
• “Software” means the software, firmware, and neural-network models supplied with or as part of the AgnosPCB Systems.
• “Services” means the inspection, software, support, and related services made available by AgnosPCB, including AOI Online, AOI Offline, and API Integration.
• “Customer” means any natural or legal person that purchases, rents, licenses, or otherwise uses AgnosPCB Systems or Services.
• “User” means any person who accesses or uses the Website.
• “Customer Content” means any data, PCB designs, images, files, configurations, or other materials submitted to, processed by, or generated through the AgnosPCB Systems by or on behalf of a Customer.
• “Confidential Information” has the meaning given in Section 10 (Confidentiality).
• “Dual-Use Items” means items, including software and technology, capable of both civilian and military application, as defined under Regulation (EU) 2021/821.
• “EEA” means the European Economic Area.
3. Binding Agreement
By accessing, registering with, or otherwise using the Website or the Services, you agree to be bound by these Terms. Continued use constitutes acceptance. In certain cases, you may be required to provide explicit consent.
4. Electronic Communications
By using the Website or communicating with us electronically, you consent to receive communications from us electronically. You agree that all agreements, notices, disclosures, and communications provided electronically satisfy any legal requirement that such communications be in writing.
5. Intellectual Property
5.1 Ownership
All intellectual property rights in the Website, the AgnosPCB Systems, the Software, and their content, including but not limited to data, text, images, software, neural-network models, and design, are owned by or licensed to AgnosPCB.
5.2 All Rights Reserved
Unless expressly stated otherwise, no license or rights are granted to you. You may not copy, reproduce, distribute, modify, reverse engineer, decompile, transmit, or commercially exploit any content without prior written consent, except as expressly permitted by mandatory law (including any right to decompile Software for interoperability purposes that cannot be excluded by law).
5.3 Customer Content
AgnosPCB claims no ownership of Customer Content. As between the parties, Customer Content and all intellectual property rights in it remain the property of the Customer or its licensors. The Customer grants AgnosPCB a limited, non-exclusive, non-transferable license to host, process, and display Customer Content solely as necessary to provide the Services. This license does not permit the use of Customer Content to train or improve AgnosPCB neural-network models, except as expressly set out in Section 11 (Customer Data and Artificial Intelligence).

You may forward our newsletter in electronic form to third parties.
7. Third-Party Content
The Website may contain links to third-party websites. We do not control or endorse their content and are not responsible for their practices, including privacy. Use of third-party services is at your own risk.
8. Acceptable Use
8.1 Website Acceptable Use
You agree to use the Website only for lawful purposes and in accordance with these Terms. You must not:
• Use the Website for malicious activities or to distribute harmful software;
• Conduct unauthorized automated data collection (scraping, harvesting, etc.); for the avoidance of doubt, authorized use of the AgnosPCB API in accordance with its documentation is permitted;
• Use data for unsolicited marketing;
• Interfere with the performance or security of the Website.
8.2 Permitted Use – Defense, Security, and Dual-Use Applications
AgnosPCB Systems, Software, and Services are intended for electronics inspection and quality assurance and may be used across civilian, industrial, defense, aviation, and security applications, subject to the conditions set out in this Section 8.2.
Customers may use AgnosPCB Automated Optical Inspection (AOI) Systems, Software, and Services for the inspection, analysis, validation, and quality assurance of electronic components and assemblies, including those intended for defense, aviation, security, or dual-use applications, without the volume or scope limitations previously imposed under this Section. The prior blanket prohibition on defense, military, and dual-use applications no longer applies.
8.2.1 Prohibited Applications
Notwithstanding the foregoing, AgnosPCB Systems may not be used, directly or indirectly, for the inspection, analysis, development, manufacturing, validation, or quality assurance of electronic components or assemblies that the Customer knows, or reasonably should know, are intended for incorporation into:
(a) anti-personnel mines, as prohibited under the 1997 Convention on the Prohibition of the Use, Stockpiling, Production and Transfer of Anti-Personnel Mines and on their Destruction (the “Ottawa Convention”);
(b) cluster munitions, as prohibited under the 2008 Convention on Cluster Munitions;
(c ) chemical weapons, as prohibited under the Convention on the Prohibition of Chemical Weapons;
(d) biological or toxin weapons, as prohibited under the Biological and Toxin Weapons Convention;
(e) nuclear weapons, other nuclear explosive devices, or radiological dispersal devices;
(f) laser weapons specifically designed to cause permanent blindness, as prohibited under Protocol IV to the Convention on Certain Conventional Weapons; and
(g) any weapon, munition, or device that is by nature indiscriminate, or of a nature to cause superfluous injury or unnecessary suffering, or that is otherwise prohibited under international treaties or customary international humanitarian law binding on Spain or the European Union.
8.2.2 Eligible Entities
The sale, resale, rental, leasing, sublicensing, or transfer of AgnosPCB Systems to entities engaged in defense, security, or dual-use electronics manufacturing is permitted, provided that such entities are lawfully established and operating within the European Union or the EEA and remain in full compliance with all applicable export-control, defense-procurement, sanctions, and trade regulations. For entities established outside the European Union or the EEA, prior written authorization from AgnosPCB is required, which AgnosPCB may grant on a case-by-case basis subject to applicable law.
8.2.3 Compliance and Enforcement
Customers remain solely responsible for ensuring that their use of AgnosPCB Systems complies with Section 8.2.1 and with all applicable laws and regulations, and represent that their intended end uses are lawful. AgnosPCB may request information or end-use declarations and may refuse service, suspend access, terminate agreements, or take legal action in the event of any breach of Section 8.2.1.
9. Registration and Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account, and you must provide accurate registration information. You must notify us immediately of any unauthorized use. AgnosPCB may suspend or restrict accounts in accordance with Section 15 (Service Availability, Suspension and Termination).
10. Confidentiality
10.1 Definition
“Confidential Information” means any non-public information disclosed by one party (the “Disclosing Party”) to the other (the “Receiving Party”), in any form, that is identified as confidential or proprietary, or that a reasonable person would understand to be confidential given its nature or the circumstances of disclosure. Confidential Information includes, without limitation: Customer Content; PCB designs and inspection data; technical, commercial, financial, and operational information; pricing and non-public terms; the AgnosPCB Software, neural-network models, and know-how; product roadmaps; and the terms of any non-standard agreement between the parties.
10.2 Exclusions
Confidential Information does not include information that the Receiving Party can demonstrate:
(a) is or becomes publicly available other than through a breach of these Terms;
(b) was lawfully known to the Receiving Party, without a duty of confidentiality, before disclosure;
( c) is lawfully received from a third party without a duty of confidentiality; or
(d) is independently developed by the Receiving Party without use of or reference to the Disclosing Party’s Confidential Information.
10.3 Obligations of the Receiving Party
The Receiving Party shall:
(a) use the Confidential Information solely for the purpose of performing its obligations or exercising its rights under these Terms or the relevant agreement (the “Purpose”);
(b) not disclose the Confidential Information to any third party except as permitted in Section 10.4; and
(c ) protect the Confidential Information using at least the same degree of care it applies to its own confidential information of similar importance, and in no event less than a reasonable degree of care.
10.4 Permitted Disclosures
The Receiving Party may disclose Confidential Information to its employees, officers, contractors, and professional advisers who need to know it for the Purpose, provided that they are bound by confidentiality obligations no less protective than those in this Section 10. The Receiving Party remains responsible for any breach of these obligations by such persons.
10.5 Compelled Disclosure
If the Receiving Party is required by law, regulation, or a binding order of a court or governmental authority to disclose Confidential Information, it may do so, provided that, where legally permitted, it gives the Disclosing Party prompt prior notice and reasonable cooperation so that the Disclosing Party may seek a protective order or other remedy, and discloses only that portion of the Confidential Information that it is legally required to disclose.
10.6 Customer Content as Confidential Information
Customer Content is the Confidential Information of the Customer. AgnosPCB shall not access, use, or disclose Customer Content except as necessary to provide and support the Services, as required by law, or as otherwise expressly authorized in writing by the Customer.
10.7 No License
Disclosure of Confidential Information grants the Receiving Party no license or rights in that information, except the limited right to use it for the Purpose.
10.8 Return or Destruction
Upon the Disclosing Party’s written request or upon termination of the relationship between the parties, the Receiving Party shall, at the Disclosing Party’s option, return or securely destroy the Confidential Information in its possession or control, except for copies retained in routine system backups or as required by law, which remain subject to the confidentiality obligations of this Section 10 for as long as they are retained.
10.9 Duration
The confidentiality obligations in this Section 10 apply during the relationship between the parties and continue for five (5) years after its termination, except that obligations relating to trade secrets, and to Customer Content that is classified or controlled for defense or export-control purposes, continue for as long as the information retains its protected status under applicable law.
10.10 Remedies
The parties acknowledge that the unauthorized use or disclosure of Confidential Information may cause irreparable harm for which monetary damages would be an inadequate remedy. Accordingly, the Disclosing Party may seek injunctive or other equitable relief, in addition to any other remedies available at law, without the need to post a bond where permitted.
11. Customer Data and Artificial Intelligence
11.1 Ownership
Customer Content remains the property of the Customer or its licensors at all times.
11.2 Use of Customer Content
AgnosPCB processes Customer Content solely to provide and support the Services and in accordance with the Customer’s instructions and these Terms.
11.3 Use for AI Model Training
AgnosPCB does not use Customer Content to train, retrain, fine-tune, or otherwise develop or improve its neural-network models or other artificial-intelligence systems, unless the Customer has given prior, specific, and revocable written consent (opt-in). In the absence of such consent, Customer Content is used solely to perform inspection and related Services for that Customer.
11.4 Data Residency
AgnosPCB will process and store Customer Content within the European Union or the EEA, unless otherwise agreed in writing with the Customer. Any transfer of Customer Content outside the EEA will be carried out only under a lawful transfer mechanism recognized under applicable data protection law.
11.5 Defense and Sensitive Data
Where a Customer notifies AgnosPCB in writing that Customer Content is subject to defense, classification, or export-control restrictions, the parties shall agree in writing on any additional handling, segregation, and access-control measures required before such Customer Content is submitted for processing.
11.6 Aggregated Data
AgnosPCB may generate and use anonymized, aggregated statistical data that does not identify the Customer and does not reveal Customer Content, for the purpose of operating, securing, and improving the Services.
12. Privacy and Data Protection
We process personal data in accordance with our Privacy Policy and applicable data protection law, including Regulation (EU) 2016/679 (GDPR). Where AgnosPCB processes personal data on behalf of a Customer, the parties shall enter into a Data Processing Agreement (DPA), which governs that processing. You agree to provide accurate information.
13. Refund and Return Policy
13.1 Right of Withdrawal (Consumers)
Where the Customer is a consumer within the meaning of EU law, the Customer has the right to withdraw from a distance contract within 14 days, without giving any reason, in accordance with the EU Consumer Rights Directive.
13.2 Effects of Withdrawal
Refunds will be processed within 14 days after we receive the returned goods or proof of return. Return shipping costs are borne by the Customer, unless otherwise required by law.
13.3 Exceptions
To the extent permitted by law, the right of withdrawal does not apply to:
(a) AOI Systems or goods made to the Customer’s specifications or clearly personalized;
(b) sealed software or goods that have been unsealed after delivery;
(c ) digital content or Services already supplied or activated with the consumer’s prior express consent and acknowledgment of the loss of the right of withdrawal; and
(d) other cases provided for by applicable law.
13.4 Business Customers
For Customers acting in a business or professional capacity, returns, refunds, and cancellations are governed by the applicable order form, quotation, or Master Agreement, and the statutory consumer right of withdrawal does not apply.
14. Idea Submission and Feedback
If you voluntarily submit ideas, suggestions, or feedback regarding AgnosPCB products or Services (“Feedback”), you grant AgnosPCB a worldwide, irrevocable, royalty-free license to use that Feedback without restriction. For the avoidance of doubt, this Section does not apply to Customer Content, PCB designs, or any data or materials submitted for inspection or processing through the Services, in which AgnosPCB acquires no ownership and only the limited rights set out in Sections 5.3 and 11.
15. Service Availability, Suspension and Termination
15.1 Website
AgnosPCB may modify, suspend, or discontinue all or part of the Website at any time without liability.
15.2 Services for Customers
For paid Services, AgnosPCB will use commercially reasonable efforts to keep the Services available, subject to scheduled maintenance, updates, and any service levels agreed in writing in the applicable agreement.
15.3 Suspension for Cause
AgnosPCB may suspend a Customer’s access to the Services where:
(a) payment is overdue;
(b) the Customer breaches Section 8.2.1 (Prohibited Applications);
(c ) continued access poses a security, legal, or safety risk; or
(d) suspension is required by law or by a competent authority.
Except in cases requiring immediate action, AgnosPCB will give prior notice and, where practicable, a reasonable opportunity to remedy the cause of suspension.
15.4 Emergency Suspension
Where immediate action is required for security or legal reasons, AgnosPCB may suspend access without prior notice and will inform the Customer promptly thereafter.
15.5 Termination
Either party may terminate as set out in the applicable agreement. Termination does not affect rights or liabilities accrued before termination, or any provisions intended to survive it, including Sections 5 (Intellectual Property), 10 (Confidentiality), 11 (Customer Data and Artificial Intelligence), 16 (Warranties and Liability), 21 (Indemnification), and 28 (Governing Law and Jurisdiction).
16. Warranties and Liability
16.1 Disclaimer
The Website and its content are provided “as is” and “as available.” To the maximum extent permitted by law, AgnosPCB disclaims all warranties, express or implied. Any product- or service-specific warranties are set out in the applicable agreement or in Section 17.
16.2 Limitation of Liability
To the maximum extent permitted by law, AgnosPCB is not liable for indirect or consequential damages, and its total aggregate liability arising out of or relating to these Terms or the Services is limited to the amounts paid by the Customer for the relevant product or Service in the twelve (12) months preceding the event giving rise to the claim.
16.3 Exclusions from the Limitation
Nothing in these Terms limits or excludes liability for:
(a) death or personal injury caused by negligence;
(b) fraud or fraudulent misrepresentation;
(c ) gross negligence or willful misconduct;
(d) breach of Section 10 (Confidentiality);
(e) infringement of the other party’s intellectual property rights;
(f) a party’s indemnification obligations under these Terms; or
(g) any liability that cannot be limited or excluded under applicable law.
16.4 Consumer Rights
Nothing in these Terms affects the statutory rights of a Customer acting as a consumer.
17. Post-Warranty Support & System Evolution Plans
AgnosPCB offers optional service plans: Extended Warranty (hardware coverage and priority support); Neural Network Updates (continuous AI model improvements); and Software Updates (feature releases, bug fixes, and security updates). These services are optional and subject to pricing published on the official Website. Neural Network Updates are only available for offline systems.
18. Export Control and Trade Compliance
18.1 General Compliance
The Customer shall comply with all applicable export-control, sanctions, and trade laws, including Regulation (EU) 2021/821 on the control of exports of Dual-Use Items, EU restrictive measures (sanctions) and arms embargoes, and the export-control and sanctions laws of Spain.
18.2 United States Laws
Where AgnosPCB Systems, Software, or components are sourced from, developed in, or transit the United States, US export-control laws, including the Export Administration Regulations (EAR) and, where applicable, the International Traffic in Arms Regulations (ITAR), may apply, and the Customer agrees to comply with them.
18.3 Screening and End Use
The Customer represents that it, and its end users and end uses, are not subject to applicable sanctions or restricted-party listings, and shall not export, re-export, or transfer AgnosPCB Systems in violation of applicable law. AgnosPCB may request end-use and end-user declarations or certificates and may decline or suspend supply pending receipt of satisfactory information.
18.4 Licenses and Authorizations
The Customer is responsible for obtaining any export or import licenses or authorizations required for its use, export, or transfer of AgnosPCB Systems.
19. Assignment
You may not transfer your rights or obligations under these Terms without our prior written consent. AgnosPCB may assign these Terms to an affiliate, or to a successor in connection with a merger, acquisition, reorganization, or sale of assets.
20. Breach
We may take appropriate action in the event of a breach of these Terms, including suspension, termination, or legal action.
21. Indemnification
You agree to indemnify and hold AgnosPCB harmless against third-party claims, liabilities, damages, and reasonable costs arising from your Customer Content, your misuse of the Website or the Services, or your violation of these Terms or of applicable law, including export-control and sanctions laws.
22. Force Majeure
Neither party is liable for any failure or delay in performance (other than payment obligations) caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, epidemics or pandemics, government action, embargoes, failures of utilities or telecommunications networks, or supply-chain disruption. The affected party shall notify the other party and use reasonable efforts to mitigate the effects. If a force majeure event continues for more than sixty (60) days, either party may terminate the affected Services on written notice.
23. Waiver
A failure or delay in enforcing any provision of these Terms does not constitute a waiver of that provision or of any other right.
24. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable or, if it cannot be so modified, it shall be severed, and the remaining provisions shall continue in full force and effect.
25. Language
These Terms are drafted in, and governed and interpreted in, English. Any translation is provided for convenience only, and the English version prevails in the event of any inconsistency.
26. Order of Precedence and Entire Agreement
These Terms, together with the Privacy Policy, the Cookie Policy, any Data Processing Agreement, and any separately negotiated and signed agreement, constitute the entire agreement between the parties regarding their subject matter. In the event of conflict, the following order of precedence applies: (1) any separately negotiated and signed agreement, such as a Master Agreement or order form; (2) the Data Processing Agreement, with respect to the processing of personal data; (3) these Terms; and (4) the Privacy Policy and the Cookie Policy. The Privacy Policy and the Data Processing Agreement prevail over these Terms with respect to data-protection matters.
27. Updates and Amendments
AgnosPCB may update these Terms from time to time. Minor or non-material changes take effect when posted on the Website. For material changes — including changes to Section 8.2 (defense and dual-use use), Section 16 (Warranties and Liability), or Sections 10 to 12 (data handling) — AgnosPCB will give registered Customers reasonable prior notice, at least thirty (30) days where practicable, before the changes take effect. Continued use after the effective date constitutes acceptance. A Customer that does not accept a material change may terminate the affected Services before the change takes effect, as its sole remedy.
28. Governing Law and Jurisdiction
These Terms are governed by the laws of Spain, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods. Disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Santa Cruz de Tenerife, Spain, without prejudice to any mandatory right of a Customer acting as a consumer to bring proceedings in the courts of the consumer’s place of residence.
